Overview of the Role:
We are seeking an experienced Senior Corporate Paralegal to join our Global Governance legal team, based in London, UK. In this role, you own non-US subsidiary legal compliance and manage complex international governance initiatives, partnering directly with cross-functional leaders, external counsel worldwide, and executive stakeholders. You will apply strong legal judgment and leverage legal technology, enterprise platforms, and generative AI tools to drive precision and efficiency in corporate record-keeping — a great opportunity to shape governance practice across a global entity portfolio.
Responsibilities:
- Leads the end-to-end legal lifecycle and corporate governance for non-US subsidiaries, including formations, dissolutions, restructurings, and conversions, while maintaining entity management databases, corporate records, and statutory filings to ensure local compliance.
- Drafts corporate documents including board minutes, shareholder resolutions, powers of attorney, and officer/director appointments, and coordinates director and officer onboarding/offboarding across global entities.
- Acts as the primary liaison with internal stakeholders across Tax, Treasury, Accounting, and HR to execute corporate transactions, capital restructuring, and operational compliance needs, including support for mergers and acquisitions and post-acquisition integrations.
- Manages relationships with external law firms, corporate secretaries, and local service providers worldwide, coordinating global signature processes, apostilles, notarizations, and document legalization, while championing responsible use of generative AI in daily legal workflows.
Required Qualifications:
- 5+ years of corporate paralegal experience, combining law firm training with in-house legal department experience at a multinational company
- Hands-on knowledge of international subsidiary management, corporate governance structures, and non-US statutory compliance workflows
- Exceptional attention to detail and organizational skills, with a proven ability to manage high-volume, complex workloads independently
- Hands-on experience applying generative AI tools and legal technology in legal research, drafting workflows, and process improvement
Preferred Qualifications:
- Proficiency or fluency in Spanish, Italian, or German
- Direct experience working across European, Latin American, or Asia-Pacific legal systems and regulatory environments
- Exposure to legal operations frameworks, workflow automation tools, or process improvement methodologies
- Experience with entity management systems (e.g., Diligent), document management software, e-signature platforms, and productivity suites
