Description

As a leader within the M&A team, this Director will be responsible for overseeing technical accounting, financial reporting, and integration activities related to the Company’s acquisition strategy. This role partners closely with Corporate Development, Finance, Legal, Tax, Employee Success, and Operations to evaluate potential transactions, assess accounting implications, and ensure seamless post-close integration. The ideal candidate combines deep technical expertise, particularly in consolidation, equity, stock compensation, intercompany transactions, stock compensation, and statutory reporting, with strong strategic, analytical, and project management capabilities.

Key responsibilities

Technical Accounting and Reporting

  • Lead the evaluation and documentation of accounting implications for potential M&A transactions going through due diligence, including business combinations and asset acquisitions.

  • Perform and review complex technical analyses under both US GAAP, IFRS and/or local accounting standards related to:

    • Equity and financing arrangements

    • Purchase price allocations

    • Goodwill and intangible assets

    • Foreign currency translation and remeasurement (CTA included)

    • Consolidation

    • Fair value measurements and assessment of dedicated valuations requirements

    • Statutory and regulatory reporting requirements in relevant jurisdictions

  • Oversee the preparation of accounting memos, supporting documentation, and audit workpapers for internal and external auditors and any US GAAP to Statutory adjustment justification and guidance to local teams.

  • Ensure compliance with US GAAP, IFRS, and other local accounting standards, as well as SEC rules and internal accounting policies.

M&A Due Diligence & Transaction Support

  • Partner with Corporate Development and M&A Finance to assess financial risks, integration complexity, and key accounting considerations during the diligence process.

  • Evaluate historical financial statements, quality of earnings, and off-balance-sheet exposures.

  • Participate in deal structuring discussions and provide accounting insights to optimize transaction outcomes.

  • Support the development of financial models and acquisition-related assumptions.

Integration Planning and Execution

  • Lead the accounting workstream for integration including system alignment, chart of accounts mapping, close process integration, and policy harmonization (in both acquired and Salesforce systems).

  • Drive the timely and accurate recording of opening balance sheets, including fair value adjustments and purchase price allocation.

  • Partner with cross-functional teams to develop and execute comprehensive integration plans, identifying risks, dependences, and required resources.

  • Establish scalable processes and internal controls for newly acquired businesses across all of Finance, including Accounting, Payroll, Tax, Equity, Real Estate, and more.

  • Oversee the rationalization of domestic and international legal entities, including the facilitation of mergers, business transfer agreements, and liquidations.

Strategic Leadership & Cross-Functional Collaboration

  • Act as the primary subject-matter expert for M&A-related accounting matters across the organization.

  • Provide clear communication, training, and guidance to Finance teams and business leaders.

  • Continuously refine M&A accounting policies and best practices in alignment with evolving standards and business needs.

  • Support long-term strategic planning and help shape the Company’s M&A roadmap and playbook; bring innovative ideas that challenge historical practices.

Minimum Qualifications

  • Bachelor’s degree (or equivalent) in Accounting, Finance, or related field.

  • CA or CPA (or equivalent) required.

  • 12+ years of progressive accounting experience, including public accounting (Big 4 or national firm) and corporate accounting experience, 5+ years of managerial (including people management) experience, and extensive experience in International jurisdictions.

  • Strong technical accounting expertise in US GAAP and International standards (IFRS and other local), particularly Business Combinations, Stock Compensation, Foreign Currency (translation, transaction, and functional currency), Consolidation, and international tax issues.

  • Direct experience leading accounting due diligence and purchase accounting processes for complex transactions.

  • Demonstrated ability to manage cross-functional teams in fast-paced, high-growth environments, generally including multiple acquisition-related projects at once.

  • Exceptional analytical, communication, and project management skills; strong leadership and influencing skills across all levels of an organization.

  • Experience in managing local compliance obligations and technical accounting matters.

  • Ability to self-manage as well as work with virtual, global, and cross-functional teams and timezones.

  • High attention to detail paired with sound judgment and pragmatic decision-making.

  • Must be able to multitask, work efficiently under tight deadlines and proactively track and report progress.

  • Ability/fluency in other languages (preferred).
