Commercial Counsel (SaaS)

We’re hiring a Commercial Counsel to join our growing Legal team and serve as the primary legal partner to our Sales and Customer organizations. You’ll own end-to-end deal work for enterprise and mid-market customers, help streamline our contracting process, and be a go-to advisor on commercial, data, and product questions.
What You'll Do
- Own deal flow: Draft, review, and negotiate SaaS MSAs, subscription/order forms, SOWs, professional services agreements, reseller/partner agreements, NDAs, and vendor contracts.
- Privacy & security: Negotiate DPAs, security addenda, and flow-downs; partner with Security and IT on customer questionnaires and RFPs (SOC 2/ISO 27001 familiarity helpful).
- Deal desk enablement: Maintain/playbook templates, fallback positions, and clause libraries; drive redline standards and approvals to accelerate cycle time while balancing risk.
- Revenue support: Advise on pricing/discount structures, liability and indemnity positions, and RevRec-aware terms; help unblock complex transactions and escalations.
- Cross-functional partner: Work closely with Sales, Customer Success, Security, Product, Finance, and Ops on go-to-market motions and product/feature launches.
- Legal ops & scale: Improve CLM/process tooling, metrics, and dashboards; train GTM teams on contracting best practices and risk spotting.
- Outside counsel: Manage targeted outside counsel support efficiently where specialized expertise is needed.
What You'll Bring
- 5+ years of commercial/technology transactions experience, with both law firm and in-house background strongly preferred.
- Deep experience negotiating SaaS and related commercial agreements with enterprise customers and partners.
- Strong command of privacy and data protection (e.g., CPRA/CCPA, GDPR) and common security frameworks/terms.
- Pragmatic, business-forward judgment and ability to communicate clearly with non-lawyers.
- Comfortable working on-site in Los Angeles and collaborating in a fast-moving startup environment.

JD and active membership in at least one U.S. state bar (California preferred or ability to register as in-house counsel).
Nice to Haves
- Experience selling into construction/trades, field service, or other operationally complex industries.
- Channel/reseller ecosystems, regulated-buyer procurement exposure.
- Prior work building a deal desk or CLM/contracting automation.
Compensation
The salary range for this role is $180,000–$220,000. Actual pay will depend on experience, skill set, and market conditions.
