As Commercial Counsel, you will be a trusted legal partner for Branch’s revenue and procurement organizations negotiating commercial agreements (primarily SaaS) with some of the world’s biggest brands. This is a great opportunity for someone who is a solutions-oriented advisor, and can thrive in a fast-paced environment. This posting is for one headcount that can be based in either Austin/Mountain View/New York and reports to the Senior Commercial Counsel.

As Commercial Counsel, you’ll get to:

  • Review and negotiate commercial agreements with vendors, customers, and partners including SaaS agreements, NDAs, procurement contracts, and non-standard terms and conditions of sale.
  • Draft and maintain our revenue-generating contract templates including MSA, NDA, partner agreements, and other relevant documents.
  • Build critical relationships with sales and legal colleagues and key stakeholders to effectively provide practical legal and strategic advice to assist the business in meeting its objectives.
  • Provide training to internal clients and develop playbooks and policies on commercial legal topics.
  • Attend internal leadership meetings, as appropriate.
  • Perform other duties as reasonably required from time to time.

You’ll be a good fit if you have:

  • A JD and are licensed to practice law in any US jurisdiction.
  • 1-2 years’ experience in a law firm or as an in-house counsel at a technology company (with preference given to those with experience in negotiating B2B SaaS contracts).
  • Understanding of commercial practices and contract law, data privacy, and intellectual property.
  • Experience working with IronClad, Salesforce and procurement intake tools.
  • Experience working within a sales environment and working directly with sales professionals across multiple territories, segments and verticals.
  • Strong spoken and written communication skills; you should be comfortable and capable of explaining complicated issues at the right level of detail for the audience.
  • Ability to work independently, multi-task, set priorities and collaborate with a positive and solutions-based mentality.

In accordance with applicable law, the following represents a reasonable estimated compensation range for this role: the estimated pay range for this role, if based in Mountain View, CA is $145,000 - $180,000. Please note that this information is provided for those hired in Mountain View, CA only. Compensation for candidates outside of Mountain View, CA will be based on the candidate’s specific work location. Actual compensation will be determined based on skills, experience, and geographic location and may be more or less than the amount shown above.

This is a hybrid role based at our Mountain View, CA office and follows a Hybrid schedule that will be aligned with our Return to Office guidelines.

The salary range provided represents base compensation and does not include potential equity, which is available for qualifying positions.
